Use of the ebillz billing and customer care software implies acceptance of the following terms and conditions unless specifically stated otherwise by separate contract.

LICENSE AGREEMENT FOR SHAFTESBURY 'EBILLZ' SOFTWARE

Shaftesbury Systems Ltd. 'ebillz' Customer Care and Billing Solution.

This License Agreement is a legal Agreement between you (either an individual or a single entity) and Shaftesbury Systems Ltd. ("SHAFTESBURY") for the Shaftesbury Systems software product identified above, which includes computer software and may include associated media, printed materials, and "online" or electronic documentation ("PRODUCT"). By installing, copying, or otherwise using the PRODUCT, you agree to be bound by the terms of this Agreement. If you do not agree to the terms of this Agreement, do not install or use the PRODUCT.

Subject to the terms and conditions provided below, Shaftesbury Systems Ltd. ("SHAFTESBURY"), located at Maple House, High St.., Potters Bar, EN6 5BS hereby grants the following license to you for the PRODUCT.

PRODUCT LICENSE
The PRODUCT is protected by copyright laws and international copyright treaties, as well as other intellectual property laws and treaties. The PRODUCT is licensed, not sold.

1. GRANT OF LICENSE.
a. Software Product. 
SHAFTESBURY grants to you as a legal entity a nonexclusive license to install and use the PRODUCT on your computer.  You must acquire and dedicate a license for each separate computer on which the PRODUCT is installed or run. A license for the PRODUCT may not be shared or used concurrently on different computers.


b. Electronic Documents.
Solely with respect to electronic documents included with the PRODUCT, you may make an unlimited number of copies (either in hardcopy or electronic form), provided that such copies shall be used only for internal purposes and are not republished or distributed to any third party without the written consent of SHAFTESBURY.

c. Storage/Network Use.
You may also store or install a copy of the PRODUCT on a storage device, such as a network server, used only to install or run the PRODUCT on your other computers over an internal network; however, you must acquire and dedicate a license for each separate computer on which the PRODUCT is installed or run from the storage device. A license for the PRODUCT may not be shared or used concurrently on different computers.

2. DESCRIPTION OF OTHER RIGHTS AND LIMITATIONS. 
a. Limitations on Reverse Engineering, Decompilation, and Disassembly.
You may not reverse engineer, decompile, or disassemble the PRODUCT, except and only to the extent that such activity is expressly permitted by applicable law notwithstanding this limitation.

b. Separation of Components.
The PRODUCT is licensed as a single product. Its component parts may not be separated for use on more than one computer, except as part of a network installation (as provided above), and providing you are in possession of a suitable network license.

c. Rental.
You may not rent, lease, or lend the PRODUCT.

d. Support Services.
SHAFTESBURY may provide you with support services related to the PRODUCT ("Support"). Use of Support is governed by the SHAFTESBURY policies and programs described in the user manual, in "online" documentation, and/or in other SHAFTESBURY-provided materials. Any supplemental software code provided to you as part of the Support shall be considered part of the PRODUCT and subject to the terms and conditions of this Agreement. With respect to technical information you provide to SHAFTESBURY as part of the Support, SHAFTESBURY may use such information for its business purposes, including for product support and development. SHAFTESBURY will not utilise such technical information in a form that personally identifies you without prior written permission.

e. Termination.
Without prejudice to any other rights, SHAFTESBURY may terminate this Agreement if you fail to comply with the terms and conditions of this Agreement. In such event, you must destroy all copies of the PRODUCT and all of its component parts in your possession. You may terminate this Agreement at any time by deleting the PRODUCT and all accompanying documentation and copies thereof from your computer.

3. UPGRADES. If the PRODUCT is labeled as an upgrade, you must be properly licensed to use a product identified by SHAFTESBURY as being eligible for the upgrade in order to use the PRODUCT. A PRODUCT labeled as an upgrade replaces and/or supplements the product that formed the basis for your eligibility for the upgrade. You may use the resulting upgraded product only in accordance with the terms of this Agreement. If the PRODUCT is an upgrade of a component of a package of software programs that you licensed as a single product, the PRODUCT may be used and transferred only as part of that single product package and may not be separated for use on more than one computer.

4. COPYRIGHT.
a. PRODUCT copyright.
All title and copyrights in and to the PRODUCT (including but not limited to any images, photographs, animations, video, audio, music, text, and "applets" incorporated into the PRODUCT), the accompanying printed materials, and any copies of the PRODUCT are owned by SHAFTESBURY. You acknowledge that no rights, title or interest in these items is granted under this Agreement. The PRODUCT is protected by copyright laws and international treaty provisions. Therefore, you must treat the PRODUCT like any other copyrighted material except that you may install the PRODUCT on a single computer provided you keep the original solely for backup or archival purposes. You may not copy the printed materials accompanying the PRODUCT.

b. Other components.
Certain components of the PRODUCT are the property of other suppliers, and are distributed by SHAFTESBURY under license and with suitable acknowledgement. These components are considered part of the PRODUCT and subject to the terms of this Agreement.

5. LIMITED WARRANTY.
The PRODUCT and any related documentation is provided "as is" without warranty of any kind, either express or implied, including but not limited to, implied warranties of merchantability, fitness for a particular purpose, or non-infringement, and all such other warranties are expressly disclaimed.

SHAFTESBURY does not warrant that the functions of the software will meet your requirements or that operation of the software will be uninterrupted or error free.  You assume responsibility for selecting the software to achieve your intended results, and for the use and results obtained from the software.

6. LIMITATION OF LIABILITY.
In no event shall SHAFTESBURY or its suppliers be liable to you or any other parties for any damages whatsoever (including but not limited to, damages for loss of business profits, business interruption, loss of business information, or any other pecuniary loss) arising out of the use of or inability to use this SHAFTESBURY product, even if SHAFTESBURY has been advised of the possibility of such damages. In no event shall SHAFTESBURY's liability exceed the fee paid for the PRODUCT.
Certain reference data is supplied as part of the installation. We do not guarantee the accuracy of this information, and it is the responsibility of the ebillz user to familiarise himself with this data and be satisfied as to it's suitability for billing. This data can be changed by the end user to fulfill their own requirements, it is the ebillz users responsibility to maintain the accuracy of this data. Shaftesbury Systems Ltd is not responsible for keeping this reference data up to date.
If any provision or part of any provision of this Agreement shall be held invalid or unenforceable, such part shall be ineffective without in any way affecting the remaining parts of such provision or the remaining provisions of this Agreement.

This Agreement is governed by the laws of the United Kingdom.
